BESIX diversifies through acquisition of Heijmans Belgium, strengthening its position in Belgium

BESIX is investing in the continued growth of its home market with the acquisition of all shares of the four major Belgian activities of Heijmans NV, a construction company listed on the Dutch stock market. BESIX NV and Heijmans NV reached agreement on this on 7 February.

The acquisition of the Belgian activities of Heijmans, with Heijmans Infra NV, Van den Berg NV and Heijmans Bouw NV as major subsidiaries, is in line with the growth strategy pursued by BESIX since the MBO to meet the rising demand from the Belgian market for integrated total solutions.

With Heijmans Infra, BESIX is bringing on board a leading player in the Belgian infrastructure market, specialising in complex infrastructure works for both the private and the public sector. This investment raises BESIX’s profile even further in the Flemish region in the road-building and complex infrastructure works segments, in which it is already active in Wallonia through its subsidiary Socogetra SA. BESIX also acquires full control of BELASCO NV, a joint venture of Heijmans Infra NV and DCA NV. The acquisition of BELASCO with its three own asphalt production facilities, offers BESIX enhanced security of supply for multiple anticipated major infrastructure projects in Belgium.

Joining forces with Van den Berg means that BESIX also becomes active in cable and pipeline construction with key applications for the energy, water and telecom sectors on behalf of actors such as Elia, Telenet, Infrabel, Proximus, Eandis and De Lijn. The strong growth in data traffic, investments in tram and railway infrastructure and the various expansion projects in the utility sector make for a promising outlook.

Heijmans Bouw specialises in high-quality residential and public housing and utility projects. Well-established in the health and education sectors, Heijmans Bouw helps to expand both the regional span and portfolio of BESIX Group in Belgium.

Heijmans Infra and Belasco jointly have 307 employees, spread between their sites in Schelle (head office), Bilzen, Puurs, Burcht and Ghent.  There are 306 employees at Heijmans Van den Berg, based in Schelle and Bilzen; Heijmans Bouw operates from Bilzen and Kortrijk and has 270 employees. The consolidated turnover for all activities amounts to 250 million euro.

All employees will continue to work for their respective employers from their current sites.

The agreement complies with all legal and customary requirements. The various competition authorities have been consulted in accordance with the relevant legislation. The actual transfer will take place once their approval has been obtained.
